These Terms of Service ("Terms") govern your use of the website compelite.pro and all services provided by Compelite Pro Ltd (Company number 16377147), registered at Unit 53, BizSpace, Equinox South, Great Park Rd, Bradley Stoke, Bristol BS32 4QL ("we", "us", "our").

By using our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

Compelite Pro provides social media management, content creation, digital marketing strategy, paid advertising management and related services ("Services"). The specific scope, deliverables and fees for each engagement are detailed in an individual proposal or service agreement.

We also sell digital products, templates, resources and guides through our online shop ("Digital Products").

All service engagements are subject to a written proposal or service agreement. A binding contract is formed when you accept a proposal in writing (including email) or make payment against it.

Any changes to the agreed scope of work must be confirmed in writing by both parties and may result in adjusted fees and timelines.

• Service fees are invoiced as outlined in your proposal - typically monthly in advance.
• Invoices are payable within 14 days of issue unless otherwise agreed.
• Late payments may incur interest at 8% above the Bank of England base rate, in line with the Late Payment of Commercial Debts (Interest) Act 1998.
• Digital Products are payable at the point of purchase before download access is granted.
• All prices are quoted in GBP (£) and are exclusive of VAT unless stated otherwise.

To enable us to deliver our Services effectively, you agree to:

• Provide timely access to accounts, brand assets, content and approvals as reasonably required.
• Respond to requests for information or approval within agreed timeframes.
• Ensure that all content and materials you provide to us do not infringe any third-party rights.
• Comply with the terms and policies of relevant social media platforms.

Delays caused by late provision of materials or approvals may impact timelines and deliverables.

• Our IP: all methodologies, tools, templates and proprietary processes developed by Compelite Pro remain our intellectual property.
• Client content: upon full payment, you own the final content (copy, graphics, videos) we create specifically for your brand. We retain the right to showcase work in our portfolio and case studies unless you object in writing.
• Digital Products: you are granted a non-exclusive, non-transferable licence for personal or internal business use. Redistribution, resale or sharing of Digital Products is strictly prohibited.
• Third-party assets: stock images, fonts and music used in deliverables remain subject to their respective licence terms.

Both parties agree to keep confidential any commercially sensitive information disclosed during the engagement, including business strategies, analytics data, pricing and unpublished content. This obligation survives termination of the contract.

• Monthly services: either party may terminate with 30 days' written notice. Fees for the current billing period are non-refundable.
• Project-based work: cancellation after work has commenced will be subject to payment for work completed to date plus any committed third-party costs.
• Digital Products: due to their digital nature, all sales are final and non-refundable once the download link has been accessed.
• Immediate termination: we reserve the right to terminate immediately if you breach these Terms, engage in abusive behaviour, or request content that is unlawful, defamatory or in violation of platform policies.

• Our total liability in connection with any service engagement shall not exceed the total fees paid to us in the 3 months preceding the claim.
• We are not liable for any indirect, consequential, special or incidental losses including lost profits, lost data or damage to reputation.
• We do not guarantee specific results (e.g. follower counts, engagement rates, sales figures) as outcomes depend on many factors beyond our control.
• We are not responsible for algorithm changes, platform outages, account suspensions or actions taken by social media platforms.

You agree to indemnify and hold harmless Compelite Pro, its directors, employees and agents from any claims, losses or damages arising from:

• Content or materials you provide that infringe third-party rights.
• Your breach of these Terms.
• Your misuse of our Digital Products.

By using our website you agree not to:

• Use the site for any unlawful purpose.
• Attempt to gain unauthorised access to our systems or data.
• Scrape, reproduce or redistribute our content without written permission.
• Introduce malicious code or interfere with the website's functionality.

We reserve the right to restrict access to the website at our discretion.

Our website may contain links to third-party websites and services. We are not responsible for their content, privacy practices or terms. Use them at your own risk.

Neither party shall be liable for failure or delay in performance caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, internet or utility failures, or platform outages.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these Terms from time to time. Changes will be posted on this page with an updated date. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
